Due to unforeseen circumstances, the EARIE EXTRAORDINARY General Assembly, called in October 2024, has to be recalled. A reminder of the meeting is below:
EARIE has to update its statutes to comply with the Belgian Code on Companies and Associations (the “BCCA”), enacted by the Belgian parliament in early 2019. The BCCA aims at modernising and simplifying company/association law and offers more flexibility to Belgian companies/associations, but it requires us to amend our articles of association and bring them in line with the provisions of the BCCA.
As members of the EARIE, you are asked to approve the new statutes (which are available at the bottom of this page). For the approval vote, you are invited to attend the Extraordinary General Meeting of the Association (in accordance with Article 9 of the Articles of Association), which will take place on Wednesday, April 16, at 15:00 CEST. Because of a legal requirement, the meeting has to take place in person at the Notaries’ offices, Berquin Notaires on Avenue Lloyd George 11, 1000, Brussels, Belgium. We understand that attending an in-person meeting in Brussels might not be feasible or desirable for you so, as specified below, you have the right to be represented at the general meeting by another member or a third party, non member, who may exercise correlative voting rights.
The official agenda of the extraordinary general meeting has been set as follows:
1. Amendment of the Association’s purpose and consequently amendment of Article 2 of the old Statutes of Association.
2. Adoption of a new text of the Statutes of Association in order to bring them into line with the resolution adopted and with the Companies and Associations Code, and to amend, inter alia, the rules relating to the categories of members, the method of deliberation at the General Meeting, the rules relating to the Board of Directors and the external representation of the Association.
3. Power of attorney for the coordination of the Statutes of Association.
4. Power of attorney to the Board of Directors to implement the resolutions passed.
In accordance with Article 10 of the current Statutes of Association, the General Assembly can only validly deliberate and decide if at least 30 members are present or represented. If this condition is not met, a second general meeting will be convened at a later date. This new meeting shall deliberate and decide validly regardless of the number of members present or represented.
Members can be represented at the General Assembly meeting by another member or a third party, non member, who may exercise correlative voting rights. If you cannot join in person but wish to be represented, please contact info@earie.org asap for the correct module to be filled in.
